SPECIAL RESOLUTION  

WHEREAS the Board of Directors (the “Board”) of Conexus Credit Union 2006 has recommended to its members that the Credit Union amalgamate with Cornerstone Credit Union Financial Group Limited and Synergy Credit Union Ltd. (the “Amalgamation” (merger)) in accordance with The Credit Union Act, 1998 (Saskatchewan) (the “Act”); 

AND WHEREAS the Board of Conexus Credit Union 2006 has provided, in the notice of special meeting to members dated June 3, 2025, a summary of the amalgamation agreement (the “Amalgamation Agreement”) among Conexus Credit Union 2006, Cornerstone Credit Union Financial Group Limited and Synergy Credit Union Ltd., as required by the Act; 

AND WHEREAS approval of the Amalgamation (merger) and the Amalgamation Agreement must be passed by the members by way of special resolution, as defined in the Act. 

BE IT RESOLVED THAT the Amalgamation (merger) and the Amalgamation Agreement, consistent with the summary provided to the members, is hereby approved and ratified. 

AND FURTHER BE IT RESOLVED THAT the Board be, and is hereby authorized to do all things necessary or desirable to make such incidental changes to the Amalgamation Agreement as the Board may determine or as may be needed to ensure the approval of the Registrar of Credit Unions prior to the proposed effective amalgamation date of January 1st, 2026.
